Nicole Roberts Agency – Terms & Conditions

1. Agreement & Acceptance
1.1. These Terms & Conditions apply to all services provided by Nicole Roberts Agency Ltd to the client once a proposal or quote is accepted in writing or by payment of any invoice.
1.2. These Terms prevail over any client terms unless expressly agreed in writing.
 
2. Scope of Work
2.1. The services and deliverables (e.g., logo suite, brand guidelines, digital assets) will be defined in the Proposal/Quote.
2.2. Any work not specified in the Proposal is out of scope and may incur additional fees.
2.3. Revisions beyond the agreed number are charged separately unless otherwise stated. 
 
3. Deposits & Payment
3.1. A deposit of [specify % — e.g., 50%] of the project fee is required prior to the commencement of work.
3.2. The deposit is non-refundable once paid, regardless of whether the client proceeds with the project.
3.3. The remaining balance is payable according to the payment schedule in the Proposal.
3.4. All outstanding payments must be received before final deliverables are released. 
 
4. Delivery & Client Responsibilities
4.1. Delivery timelines are contingent on the client providing all necessary materials (copy, images, approvals) on time.
4.2. If the client delays content, feedback, or approvals, project timelines may be extended and additional charges may apply.
4.3. Nicole Roberts Agency will not produce or release final assets until all payments are cleared in full.
 
5. Ownership & Intellectual Property
5.1. Intellectual Property (IP) in final deliverables passes to the client once all payments have been made in full.
5.2. Prior to final payment, you have a licence to use work for review purposes only; full rights are only transferred upon full payment.
5.3. The Agency retains the right to use the work for portfolios, awards, and self-promotion unless otherwise agreed. 
 
6. Revisions & Approvals
6.1. The client agrees to provide consolidated feedback in a timely manner.
6.2. Approved designs are considered final. Errors not raised at sign-off are client responsibility.
 
7. Cancellation & Refunds
7.1. The client may cancel the project in writing, but the deposit remains non-refundable.
7.2. If work has already commenced and the project is cancelled, the client may be invoiced for work completed to date in addition to losing the deposit.
 
8. Late Payments & Delivery Withholding
8.1. If any payment is overdue, the Agency reserves the right to suspend work and withhold deliverables until payment is received in full. 
 
9. Limitation of Liability
9.1. The Agency’s liability for any claim relating to services is limited to the total fees paid for that project.
9.2. We are not liable for any indirect, special or consequential losses.
 
10. Confidentiality
10.1. Both parties agree to keep confidential any proprietary information shared during the project.
 
11. Governing Law
11.1. These Terms are governed by the laws of England & Wales. Any disputes will be subject to the exclusive jurisdiction of the English courts
